Agreement pursuant to which the parties set-off their debt against one another.

This agreement is used when two parties that are indebted to one another. Pursuant to this agreement, the parties' debts will be "set-off" against one another so that the party with the smaller debt will not owe anything and the party with the larger debt will owe the difference between the two debts.
