TO:   Name of Seller of Home
 
 
Reference is made to the Purchase and Sale Agreement dated Date of Purchase and Sale Agreement between Name of Purchaser of Home (the "Buyer") as buyer and Name of Seller of Home (the "Seller") as seller, as amended, in respect of the property municipally known as Municipal Address of Property (ie. 123 Anywhere Street, Anyplace, Canada) (the "Property"), pursuant to which the Buyer has agreed to buy from the Seller the Property closing on Closing Date of Purchase and Sale Transaction (the "Closing Date").
 
 
In consideration of the Seller allowing the Buyer access the Property prior to the Closing Date for the purposes of making renovations to the Property (the "Renovations"), and for other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the Buyer agrees to indemnify and save harmless the Seller from and against the following:
 
1.   Any and all damage caused to the Property by the Buyer and/or the Buyer's trades or other persons authorized to enter the Property by the Buyer;
 
2.   Any diminution in the value of the Property by reason of the Renovations;
 
3.   Any and all personal injuries caused to anyone on the Property on or before the Closing Date which results from the Buyer,  the Buyer's trades or other persons authorized to enter the Property by the Buyer, or by reason of the completion of the Renovations; and
 
4.   All costs, charges and expenses, including but not limited to legal fees and expenses, incurred by the Seller resulting from the foregoing.
 
This Indemnity shall enure to the benefit of the Seller and its heirs, executors, administrators and other legal representatives and shall be binding upon the Buyer and its heirs, executors, successors and assigns.
