"As-Is" Bill of Sale transfers title to goods without warranties from a seller to a buyer.

Whenever you sell or buy any personal property from another person, you should document the transaction in writing. A Bill of Sale can be used by anyone selling or buying any item of personal property (i.e. lawnmower, computer system, furniture, electronics equipment, art piece etc.). Using this form can avoid potential problems later. It can help both the Seller and Buyer to protect their rights and is useful to both for tax and other accounting purposes. This form is for the sale of goods "As-Is" and does not include warranties.

THIS BILL OF SALE made between , of (the "Seller") and , of (the "Buyer")
WHEREAS the Seller wishes to sell and the Buyer wishes to buy the property, assets and undertaking described in Schedule "A" hereto (collectively the "Assets") for the consideration and on the terms and conditions set forth below:
NOW THEREFORE THIS BILL OF SALE witnesses that for good and valuable consideration now paid by the Buyer to the Seller at or before the execution and delivery of this Bill of Sale (the receipt and sufficiency of which is acknowledged), the Seller grants, bargains, sells, assigns, transfers, conveys and sets over to the Buyer the Assets, upon and subject to the following terms and conditions:
1. This Bill of Sale is made without warranties whatsoever and the Buyer agrees to accept the Assets in an "as is, where is" condition.
2. This Bill of Sale shall enure to the benefit of the successors and assigns of the Buyer.
IN WITNESS WHEREOF, the Seller has executed this Bill of Sale as of the date first above mentioned.
